These Terms of Service (“Terms”) govern your access to and use of websites, mobile applications, and business software operated by Maxpro Infotech Limited (“Maxpro,” “we,” “us,” or “our”), including Rockey Sales Force Automation, Rocket Sales Pharma, and related products (the “Services”). By accessing or using the Services, you agree to these Terms.

1. Agreement to Terms

If you use the Services on behalf of a company or organization, you confirm that you have authority to bind that organization to these Terms. In that case, “you” means the organization and its authorized users.

If you do not agree to these Terms, do not use the Services. Your use is also subject to our Privacy Policy.

2. Description of Services

Maxpro provides ICT solutions for sales, field operations, logistics, inventory, distribution, and related business workflows. Features may include order capture, route management, customer and outlet records, reporting, offline sync, notifications, and integrations with third-party systems.

Features available to you depend on your subscription, license, and configuration set by your organization or Maxpro.

3. Accounts and Access

  • You must provide accurate registration and account information
  • You are responsible for safeguarding login credentials and device access
  • You must promptly notify Maxpro of unauthorized access or security incidents
  • Organizations are responsible for managing user roles, permissions, and offboarding
  • We may suspend accounts that pose a security, abuse, or contractual risk

4. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or harmful purposes
  • Interfere with or disrupt the Services, networks, or other users
  • Attempt unauthorized access to systems, data, or accounts
  • Reverse engineer, copy, resell, or misuse Maxpro software except as allowed by law or written agreement
  • Upload malware, spam, or content that infringes others’ rights
  • Misrepresent your identity, organization, or authority
  • Use location, camera, or other device permissions in ways that violate law or workplace policy

5. Customer Data and Content

Business data entered into the Services (such as customers, orders, inventory, routes, and reports) remains owned by the applicable customer organization, subject to these Terms and any separate contract. You grant Maxpro a limited license to host, process, transmit, and display that data solely to provide and improve the Services and to meet legal or support obligations.

You are responsible for the accuracy and lawfulness of data you submit, and for obtaining any consents required to process personal data of your employees, agents, customers, or partners.

6. App Permissions and Device Features

Depending on the app and enabled features, Maxpro applications may request permissions such as location, camera, photos/files, notifications, network access, and storage. These permissions support operational features (for example field visits, proof of delivery, offline sync, and alerts). You can manage permissions in device settings; disabling them may limit functionality.

7. Subscriptions, Fees, and Trials

Paid Services are provided under the commercial terms agreed with Maxpro (quotation, order form, invoice, or master agreement). Fees, renewal, taxes, and payment terms are as stated in those documents. Free trials or demos may be limited in duration, features, or support and may be modified or ended at Maxpro’s discretion.

8. Intellectual Property

Maxpro and its licensors own all rights in the Services, software, branding, documentation, and related materials. Except for the limited right to use the Services as permitted, no intellectual property rights are transferred to you. Feedback you provide may be used by Maxpro to improve products without obligation to you.

9. Third-Party Services

The Services may integrate with third-party platforms (ERP, accounting, payments, messaging, maps, analytics, and similar). Your use of those platforms is governed by their own terms and privacy policies. Maxpro is not responsible for third-party services outside our control.

10. Availability and Support

We aim to keep the Services reliable and available, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, network issues, or force majeure events may affect availability. Support is provided according to your plan or support agreement.

11. Disclaimers

Except as expressly agreed in a written contract, the Services are provided “as is” and “as available.” To the fullest extent permitted by law, Maxpro disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. Business decisions made using the Services remain your responsibility.

12. Limitation of Liability

To the maximum extent permitted by law, Maxpro shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities. Maxpro’s total liability arising from the Services shall not exceed the fees paid by you to Maxpro for the Services giving rise to the claim during the twelve (12) months preceding the event, unless a separate written agreement states otherwise.

13. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay amounts due, create risk to the platform, or if required by law. You or your organization may stop using the Services at any time. Upon termination, your right to access the Services ends. Data retention or export options may be available as described in our Privacy Policy, Data Deletion page, or customer agreement.

14. Privacy and Data Deletion

15. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will change when revisions are posted. Continued use of the Services after updates constitutes acceptance of the revised Terms where permitted by law. Material changes may also be communicated through the app, website, or email where appropriate.

16. Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles, unless a signed customer agreement specifies otherwise. Courts in Kenya shall have jurisdiction over disputes arising from these Terms, subject to any alternate dispute resolution process agreed in writing.
